Small Business Legal Services

Business entity consultation and formation: One of the most important decisions as you are forming your business is what legal form the business should adopt (sole proprietorship, partnership, LLC or corporation).

Drafting corporate documents: It is easier to avoid disputes than to litigate them. Partnership Agreements, Operating Agreements and Bylaws function as the internal rules for how the business operates.

EIN: I will assist in obtaining an employer identification number with the IRS.

Formation of non-profit entities: Often called the “third sector of the economy,” not-for-profit, or charitable organizations allow private citizens to supplement the social safety net and serve the community in a variety of areas. Obtaining tax exempt status, under section 501(c)(3) of the IRS code, allows these organizations to raise much-needed funds by offering their donors a charitable deduction.

Corporate Secretarial Services:   For certain entities, I will provide corporate secretarial services including drafting notices, agendas and resolutions for meetings, as well as taking minutes of the meeting.  I will also undertake to make certain required filings as dictated under Massachusetts Law.

Social Media Law: The rampant use social media use by businesses and employees presents many legal challenges in today’s internet age. Companies should not avoid interacting with customers and clients on social media sites. But it’s important that companies also have a clear social media policy in place so that everyone knows the ground rules.
